Bryan Judd is Counsel and Co-Head of the Secondaries Group at Legal Scale. Bryan’s practice is centered on private market secondaries and structured equity transactions, with a particular focus on complex liquidity solutions involving founders, employees, funds, and strategic investors. He regularly advises on single-asset and multi-asset secondaries, LP and GP-led transactions, forward purchase arrangements, structured liquidity programs, and bespoke transfer solutions designed to navigate company restrictions, tax considerations, and investor alignment.

Bryan works at the intersection of secondaries, emerging companies and venture capital, and mergers and acquisitions, advising clients across the full lifecycle of private companies. His experience includes structuring and negotiating equity and debt-like equity instruments, SPVs and continuation vehicles, carry and promote allocation mechanics, transfer and ROFR compliance, governance and consent frameworks, and risk allocation in bespoke secondary and recapitalization transactions. He frequently represents buyers, sellers, and intermediaries in transactions requiring creative structuring to balance liquidity objectives with regulatory, fiduciary, and contractual constraints.

In addition to his secondaries practice, Bryan advises emerging growth companies and investors on venture financings, strategic investments, and growth-stage M&A, often in connection with secondary liquidity events, recapitalizations, or broader ownership restructurings. His work is informed by a deep understanding of fund economics, investor protections, and market-standard documentation, allowing him to bring a pragmatic, solutions-oriented approach to complex transactions.

Bryan earned his J.D. from Boston College Law School and his B.S.B.A. from High Point University. He is admitted to practice in Massachusetts, with admittance pending in both Connecticut and New York.
